AI Installation Service Agreement

Last updated October 9, 2026

The agreement you sign before starting The 60 Day AI Install, Small Machine Co.'s done-for-you AI installation, including the full terms of the Blueprint, Team-Ready and Metric-Mover Guarantees.

Effective date: October 9, 2026

Acknowledgment and Agreement

This AI Installation Service Agreement (the “Agreement”) is entered into between Small Machine Company LLC (“Small Machine Co.”, “Company”, “we”, “us”, or “our”) and the business or individual named on the signature page or order form (“Client”, “you”, or “your”). Client accepts this Agreement by signing it electronically before making the first payment. This Agreement takes effect on the date Client signs it.

1. Services Overview

The 60 Day AI Install (the “Services”) is a done-for-you AI installation built around one measurable metric in Client’s business. The Services have two paid phases:

a. The Blueprint. During the first week, Company collects the access and materials described in Section 7, maps the process that drives the metric, and prepares a written plan (the “Blueprint”). The Blueprint sets out the one metric to move (the “Metric”), its current baseline, how it is measured, a proposed target, the AI workflows Company proposes to build and the order in which it will build them, and Company’s good-faith estimate of the monthly cost of the third-party tools the workflows need. Company and Client then review the Blueprint on a call (the “Blueprint Review”).

b. The Install. After the Metric Sign-off described in Section 4, Company builds and installs the AI workflows set out in the Blueprint inside the tools Client already uses, documents each workflow, prepares a checklist for each role that uses the workflows, and hosts a live team training session of about sixty (60) to ninety (90) minutes that any member of Client’s team may join. A measurement period follows, ending with a results call on day sixty (60) after the Sign-off Date.

2. Scope

The standard Install covers approximately three (3) AI workflows. The exact workflows are the ones listed in the Blueprint that Client approves at the Metric Sign-off.

Additional small and simple workflows may be added at Company’s discretion where they support the Metric. Work that is materially larger in scope than the standard Install, including additional complex workflows or new systems, carries a higher Install Fee, which Company quotes in the Blueprint before any building starts. A different Metric requires a new Blueprint.

Company personally performs the Services. Company does not hand the work to a junior team member or subcontractor without Client’s written consent.

3. Timeline and Communication

The expected timeline is:

  • one (1) week for the Blueprint, ending with the Blueprint Review;
  • about four (4) weeks after the Sign-off Date for installation and training; and
  • measurement through day sixty (60) after the Sign-off Date.

The sixty (60) days run from the Sign-off Date. Day sixty (60) is the date by which the Target is to be reached.

Company sends Client a written update with a short video each week during the Install, covering what was built, what comes next, what Company needs from Client, and the current state of the Metric. The parties hold additional calls only when the work requires one.

Timelines depend on Client providing access, information, and team availability as described in Section 7. Delays caused by Client, or by third-party tools outside Company’s control, extend the timeline and the Guarantee Period by the length of the delay.

4. The Metric Sign-off

At the Blueprint Review, Company and Client sign a written record (the “Metric Sign-off”) that states:

  • the Metric, which must meet Section 6(d);
  • its baseline;
  • how it is measured and where the data comes from;
  • the target that counts as hitting the Metric (the “Target”);
  • the minimum volume of activity needed to measure a change (the “Minimum Volume”);
  • the tasks Client’s team agrees to perform for the workflows to work as designed, and how each is recorded (the “Client Tasks”);
  • the workflows in scope; and
  • the Install Fee.

The date both parties sign it is the “Sign-off Date”. Neither party may set the Target unilaterally. Both parties must agree to it in writing.

If Client chooses not to sign the Metric Sign-off, Section 6(a) applies.

5. Fees and Payment

a. Blueprint Fee. One thousand two hundred forty-seven dollars ($1,247). The Blueprint Fee is non-refundable.

b. Install Fee. Three thousand seven hundred fifty dollars ($3,750) for the standard Install described in Section 2. If the Blueprint quotes a higher Install Fee for a larger scope, the Install Fee stated in the Metric Sign-off applies, and any difference is due on the Sign-off Date.

c. How Client pays. Client pays either:

  1. in full, four thousand nine hundred ninety-seven dollars ($4,997), when Client signs this Agreement; or
  2. in two (2) payments of two thousand five hundred ninety-seven dollars ($2,597) each. The first payment is due when Client signs this Agreement. The second payment is due on the Sign-off Date, before the Install begins.

The first payment under either option covers the Blueprint Fee first, and the rest is applied to the Install Fee.

d. No building before payment. Company does not begin the Install until the Install Fee has been paid in full.

e. Late payment. If a payment is more than seven (7) days late, Company may pause the Services until it is received. Timelines and the Guarantee Period are extended by the length of any pause.

All payments are processed through Company’s third-party payment processor. Except as stated in Section 6(a), fees are non-refundable.

6. The Guarantees

Company offers three guarantees. None of them is a refund based on results.

a. The Blueprint Guarantee. If Client does not want to proceed after the Blueprint Review, Client may end this Agreement by telling Company on the Blueprint Review call or by email to austin@smallmachine.co within forty-eight (48) hours after it. In that case:

  1. Client owes only the Blueprint Fee;
  2. Company refunds every amount Client has paid above the Blueprint Fee within fourteen (14) days, and no further payment is due;
  3. Client keeps the Blueprint document; and
  4. Company stops work, nothing is built, and Client removes Company’s access.

b. The Metric-Mover Guarantee. If the Metric has not reached the Target by day sixty (60) after the Sign-off Date, Company will keep working on the Metric at no additional cost to Client until day one hundred twenty (120) after the Sign-off Date. The period from the Sign-off Date to day one hundred twenty (120) is the “Guarantee Period”. Company’s obligations under this guarantee end on day one hundred twenty (120). No fees are refunded under this guarantee. Client keeps every workflow, prompt, and document Company built, under Section 9.

c. The Team-Ready Guarantee. Company provides documentation for each workflow written so that any employee of Client can follow it, a step-by-step checklist for each role that uses the workflows, and a live training that any member of Client’s team may join. If any member of Client’s team cannot follow the documentation or a checklist, Company will revise it and walk that person through it live, at no additional cost, until day one hundred twenty (120) after the Sign-off Date. Client is responsible for its team using the workflows as part of their regular work.

d. Eligible metrics. The Metric must be part of a process Client already runs, and it must be measured either from data in Client’s systems or against a baseline recorded during the Blueprint, such as a screen recording of the task with timestamps. A Metric that depends on creating new demand (for example, website traffic, followers or audience growth, or new speaking engagements), or that cannot be measured objectively, is not eligible.

e. Conditions. The Metric-Mover Guarantee applies only if, throughout the Guarantee Period:

  1. Client keeps the access described in Section 8 in place, so Company can build, maintain, and fix the workflows;
  2. Client’s team performs the Client Tasks and uses the workflows as documented and trained, as shown in system data or the records named in the Metric Sign-off;
  3. the tracking described in the Metric Sign-off stays live and unchanged; and
  4. Client does not materially change the process, offer, pricing, or inputs behind the Metric without telling Company in writing first.

f. Exclusions. The Metric-Mover Guarantee does not apply where the Metric is missed because of:

  • activity below the Minimum Volume;
  • an outage, shutdown, pricing change, or policy change at a third-party tool, platform, or AI model provider;
  • a change Client made to the workflows, tools, or tracking without Company’s involvement; or
  • events outside either party’s reasonable control.

Where one of these occurs, the parties will discuss in good faith whether to extend the Guarantee Period or adjust the Target in writing.

g. How to invoke. Client invokes the Metric-Mover Guarantee by emailing austin@smallmachine.co within fourteen (14) days after day sixty (60). Company confirms the result using the measurement method in the Metric Sign-off.

7. Client Responsibilities

Client agrees to:

  • within three (3) business days after the first payment, provide access to the tools in scope, three (3) to five (5) call recordings or other examples of the process, and a screen recording of someone on Client’s team performing the process as it is done today;
  • make a decision-maker available for the Blueprint Review and the Metric Sign-off;
  • make the relevant team members available for the team training;
  • perform the Client Tasks; and
  • respond to questions from Company within two (2) business days.

The Blueprint Review takes place at the end of the first week if Client provides these materials on time. If Client provides them late, the Blueprint Review moves back by the length of the delay.

8. Access, Credentials, and Data Security

The Services involve working inside Client’s accounts, tools, and data. The following terms govern that work:

a. Access. Client provides Company with access to the tools in scope, either as an outside consultant or as a named account, with the least access needed to do the work. Credentials are never sent by email or text message. When the Services end, Client removes Company’s access.

b. Client data stays with Client. The workflows are built in Client’s own accounts and keep Client’s data there. Company does not keep copies of Client data in its own systems beyond what is needed to perform the Services, and deletes any such copies when the Services end.

c. Reasonable care. Company exercises commercially reasonable care and follows generally accepted practices when working in Client’s systems. Client acknowledges that Small Machine Co. is not a cybersecurity firm, information security consultancy, penetration testing provider, or data protection advisor, and does not hold itself out as one. No security audit, assessment, or compliance review is provided as part of the Services.

d. Client responsibility. Client remains responsible for the security, backup, and lawful handling of Client’s own data, accounts, credentials, and systems. This includes managing access controls and multi-factor authentication, maintaining backups, and complying with applicable laws, regulations, and third-party terms of service.

e. Sensitive information. Client tells Company in writing before giving it access to health information, payment card data, or any other data subject to special legal requirements. Company may decline to work with that data.

f. AI output. AI tools can produce inaccurate or unexpected output. Company tests each workflow before handing it over, and Client reviews workflows before relying on them for decisions that affect customers, money, or legal obligations.

g. Limits. To the maximum extent permitted by law, Small Machine Co. is not liable for any data loss, data corruption, security breach, unauthorized access, or service interruption that does not result from Company’s gross negligence or willful misconduct.

9. Ownership

a. Client owns the deliverables. Every workflow, prompt, configuration, and document Company builds for Client under this Agreement (the “Deliverables”) belongs to Client once the fees for it are paid. The Deliverables are built inside Client’s own accounts and systems. Client is not locked into Company or its services in any way. If this Agreement ends under Section 6(a), the Deliverables are the Blueprint document.

b. Company’s existing materials. Company keeps ownership of its pre-existing frameworks, templates, methods, and general know-how. Where any of these are included in a Deliverable, Company grants Client a perpetual, royalty-free license to use, copy, and modify them as part of that Deliverable.

10. Support

a. During the engagement. Client may email Company with questions or requests for help for the duration of the engagement. Company replies within one (1) business day. Business days are Monday through Friday, excluding U.S. federal holidays.

b. After hitting the Metric. For thirty (30) days after the Metric reaches the Target, Company fixes anything in the Deliverables that breaks, at no extra cost. This covers repairs to the workflows as built. It does not include new features or new workflows.

c. Maintenance. After that, Company may offer an optional monthly maintenance plan under a separate agreement.

11. Third-Party Tools and Costs

The Deliverables run on third-party tools such as n8n, Claude, ChatGPT, Supabase, and the tools Client already uses. Client pays for these tools directly, including subscriptions and usage-based charges such as API fees. The monthly cost in the Blueprint is an estimate, not a guarantee. Company recommends cost limits where a tool offers them. Small Machine Co. is not affiliated with, endorsed by, or responsible for the performance, availability, pricing, or terms of service of any third-party tool.

12. Confidentiality

Each party keeps the other’s non-public business information confidential and uses it only to perform this Agreement. This does not apply to information that is public, that the receiving party already had, or that it must disclose by law. This obligation survives the end of this Agreement.

13. Case Studies and Testimonials

Company does not publish Client’s name, logo, results, or any details of the engagement, as a case study, testimonial, or in any other form, without Client’s prior written permission.

14. Disclaimer and Limitation of Liability

Apart from the guarantees in Section 6, Company does not guarantee any specific outcome, revenue, or business result. Results depend on factors including Client’s market, volume, team, and the tools involved.

To the maximum extent permitted by law, neither party is liable to the other for any indirect, incidental, special, or consequential damages, including lost profits, arising from this Agreement.

In no event shall the total aggregate liability of Small Machine Co., its owners, employees, and affiliates, arising out of or related to this Agreement or the Services, whether in contract, tort, negligence, strict liability, or otherwise, exceed the total amount actually paid by Client to the Company under this Agreement. This limitation applies regardless of the number of claims and shall survive the termination or completion of this Agreement.

15. Term and Termination

a. Term. This Agreement runs from the date Client signs it until the later of the end of the Guarantee Period and the end of the support described in Section 10(b), unless it ends earlier under Section 6(a) or this Section.

b. Termination by Client. Client may end this Agreement at any time by written notice. Fees already paid are not refunded, except under Section 6(a).

c. Termination by Company. Company may end this Agreement by written notice if Client fails to pay, or materially breaches this Agreement and does not cure the breach within ten (10) days of notice.

d. On termination. Client keeps the Deliverables built up to that date and removes Company’s access.

16. Independent Contractor

Company performs the Services as an independent contractor. Nothing in this Agreement creates an employment, partnership, or agency relationship.

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

18. Modifications

Changes to a signed Agreement must be made in writing and signed by both parties. Company may update this published version for future clients. Updates do not change an Agreement already signed.

19. Entire Agreement

This Agreement, the Metric Sign-off, and any invoice or order form for the Services make up the entire agreement between Client and Small Machine Co. regarding the Services. It supersedes any prior discussions, representations, or agreements, whether written or verbal. If they conflict, this Agreement controls, except that the Metric Sign-off controls for the Metric, Target, Minimum Volume, and scope.
